Job Description
In this pivotal role, you will be responsible for overseeing international export and trade compliance, ensuring the company's global transactions adhere to all applicable laws and regulations. You will join a team of lawyers and contract professionals dedicated to drafting and negotiating government contracts while managing our international trade compliance program. Additionally, you will lead and develop a team, fostering a culture of compliance and continuous improvement. Your leadership responsibilities will include mentoring team members, providing strategic direction, and ensuring the team stays up to date with evolving trade regulations.
What you will do
- Provide legal counsel, leadership, and guidance to the appropriate business units on government contracts and international trade compliance matters.
- Monitor and interpret changes in trade laws and regulations and communicate their impact on the company’s operations.
- Ensure that staff are informed about changes in trade regulations and understand their responsibilities regarding compliance.
- Responsibilities include negotiation and drafting of key U.S. government contracts with customers, suppliers, and business partners. You will also provide support in corporate compliance matters relating to international trade controls (e.g., ITAR/ EAR/ OFAC).
- Support the organization in the analysis of Requests for Proposal (RFPs), development of proposals, proposal reviews and coordination, negotiation and implementation, as well as general contract administration for federal government contracts and grants.
- Draft and review a variety of U.S. government contracts such as vendor agreements, equipment purchase and/or lease agreements, research and development agreements, teaming agreements, sales channel partner agreements, government procurement and other similar contracts.
- Assist the sales and corporate development teams with sales order processing and securing/ negotiating NDAs.
- Oversee and manage the company’s third-party/vendor due diligence processes for onboarding and renewing agreements with consultants and other third-party business partners.
- Ensure that the activities of the business units comply with applicable export control laws and regulations and applicable trade sanctions and provide advice and guidance to stakeholders regarding the same.
- Ensure all EAR and ITAR-controlled articles, data, and services are properly assessed, classified, controlled, licensed, and exported, including reviewing TAAs and technical reports related to satellite design and performance.
- Regularly update global trade policies and procedures addressing export controls, including procedures related to recordkeeping, storage, and access to EAR and ITAR-controlled data, and other trade compliance matters related to OFAC, anti-corruption, and anti-boycott regulations.
- Oversee and manage the company restricted party screening tool related to debarred, sanctioned, and listed parties relevant to international business transactions and non-U.S. visitors, as well as compliance tools to assist shipping and logistics in appropriately vetting transactions for export and sanctions compliance.
- Advise HR to develop and regularly update company-wide training materials on all trade compliance, sanctions, and anti-corruption related matters.
- As a leader, drive a high-performance culture in support of the overall Intelsat vision and pro-actively contribute to development of your team and legal objectives.
Your required experience/skills
- Juris Doctor Degree or equivalent
- Minimum of 10 years of combined recent, relevant experience in government contracting and international trade and export compliance program management.
- Experience in the full lifecycle of government/ federal procurement/ contracts, including but not limited to, pre-solicitation, solicitation, contract negotiations, contract execution, contract performance, and contract close-out phase activities.
- Must have solid domain expertise with commercial terms and conditions; with FAR Parts 12 Acquisition of Commercial Items and FAR Part 15 Contracting by Negotiation, and DoD and other Agency FAR Supplements.
- Excellent oral, written and presentation communication skills, including the ability to highlight key points in a succinct manner to regulators and executive management based on sound quantitative and qualitative analysis.
- Excellent interpersonal skills, including a strong ability to build consensus and efficiently and effectively guide individuals at all levels of the organization through established or new processes.
- Think conceptually and strategically, exercise superior reasoning skills and sound business judgment to influence decision making and effectively interface with executive management.
- This role is subject to ITAR/EAR; candidates must be a US Person (this includes US Citizen, Permanent Resident or Protected Individual such as an asylee or refugee).
